Terms of Service

1. Acceptance of Terms
By visiting our website or purchasing digital agency services from NJ Zenith, you accept and agree to comply with the terms, conditions, and notices detailed in this Terms of Service agreement.
If you represent a business entity, you certify that you possess the legal authority to bind that entity to these conditions. If you disagree with any section of these terms, you must immediately halt navigation of our website and decline our services.
2. Scope of Services
NJ Zenith designs, engineers, and manages digital growth setups. Our detailed service categories include:
- Custom Web Development: Engineering interactive web applications using next-generation frameworks (Laravel, JavaScript, TailwindCSS, etc.) under set statements of work (SOW).
- Local SEO & Google Business Management: Optimizing profiles, ranking metrics, local content syndication, and keyword tracking.
- Paid Advertising Campaigns: Creating, executing, and monitoring ad assets across Google Search and Meta networks.
Specific project deliverables, milestones, timeframes, and performance specifications are formally detailed inside individual Client Service Agreements.
3. Payments, Billing & Retainers
Clients agree to settle invoices according to the payment schedules defined in their specific contracts.
- Development Projects: Typically billed as a percentage advance deposit, followed by milestone payments, and a final launch settlement.
- Monthly Services (SEO, Ads, Management): Invoiced in advance on a recurring monthly billing date. Services may be suspended if invoices remain unpaid for more than 7 business days past the due date.
- Ad Spend: The client is directly billed by advertising networks (such as Google or Meta) for active ad budgets. NJ Zenith's invoice covers campaign management and optimization fees only.
4. Client Responsibilities
For NJ Zenith to deliver optimal engineering and marketing results, the client agrees to:
- Provide timely access to required accounts (including Google Business Profile, domain registers, hosting platforms, and Meta Business Manager).
- Deliver accurate copy, assets, and branding guidelines as outlined in the project discovery phase.
- Review and approve milestones within agreed-upon window cycles to prevent deployment delays.
5. Intellectual Property Rights
Ownership of intellectual property (IP) is clearly delineated:
- Client Materials: The client retains all ownership and rights over logos, copy, custom graphics, and proprietary data provided to NJ Zenith.
- Project Deliverables: Upon complete settlement of all project invoices, NJ Zenith transfers full ownership and code title of the custom-developed web application or creative assets to the client.
- Agency Tools: NJ Zenith retains ownership of any pre-existing code modules, base frameworks, library extensions, or proprietary analytics templates utilized during the project.
6. Limitation of Liability
Under no circumstances shall NJ Zenith, its directors, developers, or affiliates, be liable for indirect, incidental, special, or consequential damages. This includes, without limitation, loss of business profits, data corruption, web search ranking fluctuations, ad account suspensions by external networks, or project launch delays caused by third-party APIs.
Our total aggregate liability for any claims arising out of this agreement or related services shall not exceed the total amount paid by the client to NJ Zenith during the three (3) months immediately preceding the claim.
7. Agreement Termination
Either party may terminate active recurring services by providing a thirty (30) day written notice.
NJ Zenith reserves the right to terminate services immediately if the client breaches material terms of this contract, exhibits abusive behavior, or engages in activities that violate laws or advertising platform regulations. Upon termination, the client agrees to settle all outstanding balances for work performed up to the date of termination.
8. Governing Law
These Terms of Service and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the jurisdiction where NJ Zenith operates, without giving effect to any choice of law principles.
Any legal actions, suits, or proceedings must be initiated in the competent courts of our local jurisdiction, and both parties consent to the exclusive jurisdiction of such courts.
